Where an Owner requires an independent Operator to operate and maintain its facility in optimal mode, such optimization is a function of the strength of the O&M contract that requires best efforts and best practice from the Operator in return for payment of a fair fee.

Appropriate allocation of risk is critical to the fair and successful operation of any key facility.

 

We assist both Owners and Operators in formulating robust and fair O&M contracts secure this excellence and balance, across a wide range of technologies and contexts, including:

Our specific past experience includes:

- Formulating, negotiating, and concluding the full O&M contract, and ancillary agreements and securities, for a 25MW biomass-to-energy facility being developed under the 4th round of the South African IPP Renewable Energy Procurement Programme (facility presently under construction).

- Formulating, negotiating, and concluding the full O&M contract, and ancillary agreements and securities, for 3 dual-axis tracker solar PV facilities, in aggregate of 250MWp installed capacity, being developed under the 4th round of the South African IPP Renewable Energy Procurement Programme (construction commencing).

- Formulating, negotiating, and concluding the bespoke O&M contract for the operation of an embedded biowaste-to-energy facility using pyrolysis technology generating heat, syngas, and electrical energy for offtake by the host industrial plant (contract finalized, implementation awaited).

- Advising an international gas trader regarding the O&M contract in respect of  its new-build LPG discharge- and storage facilities constructed in Port Louis, Mauritius (facility in operation).

- Formulating, negotiating, and concluding the full O&M contract, and ancillary agreements and securities, for a 75MW solar PV facility developed under the 3rd round of the South African IPP Renewable Energy Procurement Programme (facility in operation).

- Formulating the full O&M contract, and ancillary agreements and securities, for a 140MW onshore wind facility developed under the 3rd round of the South African IPP Renewable Energy Procurement Programme (facility in operation).

- Formulating the first templates of the proposed Port Concession Agreement, Terminal User Agreement, and Terminal User Rules for the operation of LNG facilities proposed to be developed at South African ports.
